1. Agreement to Terms

By accessing or using LeadZik ("we," "us," "our," or the "Company"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and LeadZik.

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through our platform. Your continued use of our services after such modifications constitutes your acceptance of the updated Terms.

2. Description of Services

LeadZik operates a lead generation and distribution platform that connects roofing contractors ("Roofers" or "Users") with potential customers seeking roofing services. Our services include:

  • Lead generation from multiple marketing funnels and campaigns
  • Lead verification and quality scoring using third-party verification services
  • Geographic-based lead distribution to qualified roofing contractors
  • Lead preview functionality allowing roofers to review limited lead information before purchase
  • Lead purchase system with payment processing
  • Credit system for lead purchases
  • Account management and analytics tools
  • Support ticket system

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with or without notice, at our sole discretion.

3. User Accounts and Registration

3.1 Account Creation

To use our services, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Types

We offer different account types:

  • Roofer Accounts: For licensed roofing contractors who purchase leads
  • Admin Accounts: For LeadZik administrators managing the platform
  • Staff Accounts: For LeadZik staff members providing customer support

3.3 Account Status

Your account may be subject to various statuses, including:

  • Active: Account is in good standing and can purchase leads
  • Disabled (New Account): New accounts without payment methods may be temporarily disabled
  • Disabled (No Payment): Accounts that remove payment methods will be disabled
  • Disabled (Inactivity): Accounts that have not purchased leads within a specified period may be disabled
  • Disabled (By Admin): Accounts may be disabled by administrators for violations of these Terms

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, for any reason including, but not limited to, violation of these Terms, fraudulent activity, or failure to maintain a valid payment method.

4. Lead Services

4.1 Lead Quality and Verification

We use third-party verification services (including IPQS) to verify lead information including email addresses, phone numbers, and other contact data. We provide quality scores (0-100) for leads based on various factors. However, we do not guarantee the accuracy, completeness, or quality of any lead, and all leads are provided "AS IS" without warranty of any kind.

4.2 Lead Distribution

Leads are distributed to roofers based on geographic preferences (state, city, ZIP code) that you configure in your account. We do not guarantee that you will receive leads matching your preferences, and lead availability is subject to market conditions and our lead generation capabilities.

4.3 Lead Preview

Before purchasing a lead, you may preview limited information about the lead. Once you purchase a lead, you will receive full contact information and lead details. Lead previews are time-limited and may expire.

4.4 Lead Exclusivity

Our system is designed to sell each lead exclusively to a single roofer. When you purchase a lead, that lead is intended to be sold only to you and removed from availability to other roofers.

However, despite our best efforts and system safeguards, technical failures, system errors, software bugs, database inconsistencies, network issues, or other unforeseen technical problems may occasionally occur. In the event of such technical failures, a lead may inadvertently be sold to multiple roofers or become available to multiple roofers simultaneously.

You acknowledge and agree that:

  • We are not liable for any damages, losses, or claims arising from technical failures that result in a lead being sold to multiple roofers
  • We do not guarantee absolute exclusivity in the event of system errors or technical failures
  • We are not responsible for refunds, credits, or compensation due to technical failures affecting lead exclusivity
  • System errors and technical failures are inherent risks of using technology-based services

We will make reasonable efforts to prevent such occurrences and to resolve any issues promptly if they are discovered. However, you accept that no technology system is infallible and that such technical issues may occur despite our best efforts. Once a lead is purchased, it cannot be returned or resold, regardless of whether technical issues affected its exclusivity.

4.5 Lead Expiration

Leads may expire if not purchased within a specified time period. Expired leads may be removed from your preview list and made available to other roofers.

5. Pricing and Payment

5.1 Lead Pricing

Lead prices are set by us and may vary by state or geographic region. Prices are displayed in U.S. dollars and are subject to change at any time without prior notice. Current pricing is displayed at the time of purchase.

5.2 Payment Methods

We accept payment through Stripe, which supports major credit cards and other payment methods. You must maintain a valid payment method on file to purchase leads. By providing payment information, you authorize us to charge your payment method for all purchases.

5.3 Credits System

We offer a credits system that allows you to use credits toward lead purchases. Credits may be awarded through promotions, refunds, or administrative actions. Credits have no cash value and cannot be redeemed for money. Credits may expire or be revoked at our discretion.

5.4 Payment Authorization

When you purchase a lead, we will authorize your payment method for the full amount. The authorization may occur before you receive the lead details. If payment authorization fails, the lead purchase will not be completed.

5.5 Taxes

You are responsible for all taxes, duties, and government charges that may be applicable to your purchases. We may collect sales tax where required by law.

6. Refund Policy

IMPORTANT: All refunds, if approved, will be issued as LeadZik Credits, not cash refunds. Credits have no cash value and can only be used to purchase future leads on our platform.

6.1 No Refunds for Accidental Purchases

We do not provide refunds for leads that were purchased by accident. Since leads can only be purchased once and cannot be resold, all purchases are final once completed. Please review lead preview information carefully before purchasing.

6.2 Refund Request Process

To request a refund, you must:

  • Contact the lead via email, phone, and text message
  • Wait at least 24 hours after your initial contact attempt
  • Verify that the lead information is incorrect or the lead is unqualified
  • Submit a detailed refund request through our platform explaining why the lead qualifies for a refund

6.3 Refund Review

We will review all refund requests and may contact the lead to verify information. Our review process includes analysis of contact information, IP address, lead status, and other relevant data. We reserve the right to approve or deny any refund request at our sole discretion.

6.4 Approved Refunds

If a refund is approved, we will credit your account with LeadZik Credits equal to the amount you were charged for the lead (excluding any credits used in the original purchase). Credits will be available immediately for use on future lead purchases.

6.5 Denied Refunds

If a refund request is denied, we will provide you with a detailed explanation of why the request was denied. Denied refund requests are final and cannot be appealed.

7. User Conduct and Prohibited Activities

You agree not to:

  • Use our services for any illegal purpose or in violation of any applicable laws or regulations
  • Violate any third-party rights, including intellectual property rights, privacy rights, or publicity rights
  • Engage in fraudulent, deceptive, or misleading practices
  • Attempt to reverse engineer, decompile, or disassemble any aspect of our platform
  • Interfere with or disrupt our services, servers, or networks
  • Use automated systems, bots, or scrapers to access our services without authorization
  • Share your account credentials with any third party
  • Resell or redistribute leads to third parties
  • Use leads for purposes other than providing roofing services
  • Harass, abuse, or harm any lead or other user
  • Violate any applicable telemarketing, email marketing, or do-not-call regulations
  • Submit false or misleading refund requests

Violation of these prohibitions may result in immediate account termination and legal action.

8. Compliance with Laws and Regulations

8.1 Telemarketing and Do-Not-Call Compliance

You are solely responsible for compliance with all applicable telemarketing laws and regulations, including the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and state do-not-call laws. You must:

  • Maintain your own do-not-call list and honor all do-not-call requests
  • Obtain proper consent before contacting leads via phone, text, or email
  • Comply with all applicable calling hours restrictions
  • Include proper identification in all communications
  • Honor opt-out requests immediately

8.2 Licensing and Business Requirements

You represent and warrant that you are a licensed roofing contractor (where required by law) and that you maintain all necessary licenses, permits, and insurance required to operate your business. You are solely responsible for compliance with all applicable business, professional, and trade regulations.

8.3 Data Protection

You are responsible for protecting any lead data you receive and must comply with all applicable data protection laws, including the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA), where applicable.

9. Intellectual Property

All content, features, and functionality of our platform, including but not limited to text, graphics, logos, icons, images, software, and the compilation thereof, are the exclusive property of LeadZik or our licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our platform for its intended purpose. You may not copy, modify, distribute, sell, or lease any part of our platform without our prior written consent.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

We do not guarantee that our services will be available at all times or that they will be free from errors, interruptions, or security breaches. We may suspend or discontinue services for maintenance, updates, or other reasons at any time without notice.

10.2 Lead Quality Disclaimer

WE MAKE NO WARRANTIES OR REPRESENTATIONS REGARDING THE QUALITY, ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY LEAD. ALL LEADS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADZIK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your use or inability to use our services
  • Any lead purchased through our platform
  • Any errors or omissions in our services
  • Any unauthorized access to or use of our servers or data
  • Any interruption or cessation of our services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100), REGARDLESS OF THE AMOUNT YOU PAID TO US OR THE NATURE OF THE CLAIM.

10.4 No Guarantee of Results

We do not guarantee that any lead will result in a sale, contract, or business relationship. The success of your business relationships with leads is entirely dependent on your own efforts, sales skills, and business practices.

11. Indemnification

You agree to indemnify, defend, and hold harmless LeadZik, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any applicable laws or regulations
  • Your violation of any third-party rights
  • Your interactions with leads, including but not limited to any services you provide to leads
  • Any content or data you submit through our platform

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us or using account deletion features in our platform. Upon termination, your right to use our services will immediately cease.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause or notice, for any reason including but not limited to violation of these Terms, fraudulent activity, or failure to maintain a valid payment method.

12.3 Effect of Termination

Upon termination, all rights granted to you under these Terms will immediately cease. You will lose access to your account and any unused credits. We are not obligated to provide refunds for unused credits or prepaid services upon termination.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Your State, United States, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in Your City, Your State. You waive your right to a jury trial and to participate in a class action lawsuit.

13.3 Exceptions

Notwithstanding the foregoing, we may seek injunctive or other equitable relief in any court of competent jurisdiction to protect our intellectual property rights or to prevent unauthorized use of our services.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and LeadZik regarding your use of our services and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign or transfer these Terms or our rights and obligations hereunder without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or failures of third-party service providers.
